These “Terms of Service” apply to the website at https://www.myatlasu.com/ (the “Site”) which is owned and operated by or for Cognexis Life LLC (“Cognexis” or the “Company”) as well as the Platform. The “Platform” means the mobile application known as MyAtlasU developed by Cognexis, which is designed as a mental wellness solution to support and improve student wellbeing and retention. These Terms of Service include our Privacy Policy and any other policies or notices we may post on the Site from time to time.
Revisions to Terms of Service
Cognexis may at any time revise these Terms of Service by updating this posting. By using this Site, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current Terms of Service to which you are bound.
Copyright; Use Restrictions
The material provided on this Site and Platform is protected by law, including, but not limited to, United States copyright law and international treaties. The copyright in all content and material provided on this Site and Platform is held by Cognexis. Except as stated herein, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of Cognexis. Permission is granted to display, copy, distribute and download the materials on this Site and Platform for personal, non-commercial use only and subject to the conditions that you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. This permission terminates automatically if you breach any of these terms or conditions. Upon termination of the permission granted hereby, you will immediately destroy any downloaded and printed materials. You also may not, without Cognexis’ permission, "mirror" any material contained on this Site or Platform on any other server. Any unauthorized use of any material contained on this Site or Platform may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
User Eligibility and Responsibilities
You may use the Platform only if you are at least 18 years old or have reached the age of majority in your jurisdiction, or if your parent or legal guardian has consented to your use of the Platform and agreed to these Terms on your behalf. The Cognexis name and logo and any other trademarks, service marks or product or service names, marks or logos (the “Trademarks”) are the trademarks of Cognexis or its affiliates. Nothing on this Site or Platform should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark displayed on the Site or Platform, without the written permission of Cognexis. Neither the name of Cognexis nor the Cognexis logo may be used in any way, including in advertising or publicity pertaining to distribution of materials on this Site or Platform, without prior, written permission.

TO THE FULLEST EXTENT POSSIBLE PURSUANT TO APPLICABLE LAW, COGNEXIS DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR OTHER VIOLATION OF RIGHTS. COGNEXIS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE, VALIDITY, ACCURACY, OR RELIABILITY OF, OR THE RESULTS OF THE USE OF, OR OTHERWISE RESPECTING, THE MATERIALS ON THIS SITE OR ANY OTHER PRODUCT OR SERVICE PROVIDED BY COGNEXIS, OTHER THAN SUCH LIMITED WARRANTIES AS ARE MADE AVAILABLE TO YOU UNDER A SEPARATE AGREEMENT EXECUTED BETWEEN COGNEXIS AND YOU AS A CUSTOMER OR USER OF A COGNEXIS PRODUCT.

By using the Platform, you acknowledge and agree that Cognexis may collect, use, disclose, and otherwise process information about your use of the Platform as described in these Terms and the Privacy Policy. Depending on the configuration of the Platform for your educational institution, Cognexis may share certain information with authorized representatives of your educational institution, which may include account information, Platform usage information, engagement data, and wellness-related indicators. Cognexis will share identifiable information with Institution Representatives only as described in the Privacy Policy, as authorized by you, as necessary to provide and administer the Platform, as required by law, or where Cognexis determines in good faith that disclosure is reasonably necessary to address a potential safety, security, or legal concern. Cognexis may also share aggregated or de-identified information with your institution for reporting, analytics, student support, retention, and program-improvement purposes. Your institution’s use of information it receives may be subject to its own policies and legal obligations, and Cognexis is not responsible for your institution’s independent use or disclosure of information after Cognexis provides it in accordance with these Terms and the Privacy Policy.

The Site or Platform may contain hyperlinks to certain third-party applications or web sites. We do not maintain or control third party sites and any hyperlinks are provided solely as a convenience to you. By providing these links, we are not endorsing, adopting or agreeing with any of the content of the linked third-party sites. The content of linked web sites is not part of the Site or Platform. We do not review or control the content of third-party sites. We expressly disclaim any responsibility for the content of any third-party sites linked to the Site or Platform. Software License and Intellectual Property
Software License
Subject to your compliance with these Terms of Service, Cognexis grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and Platform solely for your personal educational, wellness-support, and other authorized purposes. This license does not transfer any ownership interest in the Platform or any intellectual property rights.
Except for the limited license expressly granted herein, no rights are granted to you by implication, estoppel, or otherwise. All rights not expressly granted are reserved by Cognexis.
Ownership
The Site and Platform, including all software, source code, object code, application programming interfaces, user interfaces, designs, workflows, features, functionality, databases, documentation, algorithms, scoring methodologies, predictive models, artificial intelligence and machine learning models, analytics, recommendation engines, know-how, trade secrets, trademarks, copyrights, and all enhancements, modifications, updates, and derivative works are and shall remain the exclusive property of Cognexis and its licensors.
Nothing in these Terms transfers ownership of any intellectual property rights to you or your educational institution.
Restrictions on Use
Except as expressly permitted by these Terms or applicable law, you shall not:
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive or discover the source code, object code, underlying structure, algorithms, models, or trade secrets of the Platform;
- copy, modify, adapt, translate, create derivative works from, or reproduce any portion of the Platform;
- remove, obscure, or alter any copyright, trademark, proprietary rights notice, or security feature;
- circumvent, disable, or interfere with any technical or security measures protecting the Platform;
- access or use the Platform to build, benchmark, evaluate, train, validate, or improve any competing software, service, artificial intelligence system, machine learning model, algorithm, or product;
- scrape, harvest, crawl, download, or systematically extract data or content from the Platform through automated means unless expressly authorized in writing by Cognexis;
- use robots, spiders, bots, scripts, or similar automated technologies to access the Platform in a manner that exceeds normal authorized use;
- use the Platform for competitive analysis or to develop a competing product or service; or
- permit any third party to engage in any of the foregoing activities.
These contractual restrictions are standard mechanisms for protecting software IP because copyright law alone does not prohibit all forms of reverse engineering or competitive analysis.
Confidential and Proprietary Technology
The Platform incorporates proprietary and confidential technology, including trade secrets, proprietary methodologies, behavioral science frameworks, engagement models, algorithms, and software architecture that derive independent economic value from not being generally known. You agree to protect such confidential and proprietary information and not disclose or misuse it.
Artificial Intelligence and Analytics
The Platform may utilize proprietary artificial intelligence, machine learning models, statistical methodologies, and predictive analytics developed by Cognexis.
You may not use the Platform, any outputs generated by the Platform, or information obtained through the Platform to develop, train, fine-tune, benchmark, evaluate, or improve any artificial intelligence model, machine learning model, algorithm, or competing analytics platform without Cognexis' prior written consent.
Nothing in these Terms grants any right to access or use Cognexis' proprietary models, algorithms, methodologies, or underlying technology except through the normal authorized use of the Platform. AI-enabled SaaS agreements increasingly address model ownership and restrictions on training competing systems
Miscellaneous
The Terms of Service and our Privacy Statement shall constitute the entire agreement between you and Cognexis regarding your use of and access to the Site and Platform. Cognexis may suspend or discontinue the Site and/or Platform at any time without notice. Any claim relating to and the use of this Site and the Platform or the materials contained on the Site or Platform shall be governed by the laws of the United States and the State of South Carolina.
